Terms of Service

1. Acceptance of Terms

By downloading, installing, or using Spanna ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Software. We may update these Terms from time to time; continued use after changes constitutes acceptance.

2. Description of Service

Spanna is a desktop and web-based MongoDB client that allows users to connect to, browse, query, and manage MongoDB databases. The Software is offered in a free tier and a paid "Pro" tier with additional features. Pro access may be limited to invited users during this stage of the product.

3. Eligibility

You must be at least 16 years of age to use Spanna. By using the Software, you represent that you meet this requirement and have the authority to enter into these Terms.

4. Account & Security

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to provide accurate and current information when creating an account.
  • You must notify us immediately of any unauthorized use of your account.
  • We are not liable for losses arising from unauthorized access to your account.

5. Acceptable Use

You agree not to:

  • Use the Software for any unlawful purpose or in violation of any applicable law.
  • Attempt to reverse-engineer, decompile, or disassemble the Software.
  • Interfere with or disrupt the integrity or performance of the Software or its infrastructure.
  • Use automated means to access the Software in a manner that exceeds reasonable use.
  • Resell, sublicense, or redistribute the Software without prior written consent.

6. Your Data

Spanna connects to databases you control. We do not market database-content storage or retention as part of the Service. The desktop app connects directly to your database. The web client uses Spanna-hosted infrastructure to execute browser-based operations. Connection credentials may be stored in an encrypted local or cloud-backed vault as part of the product's workspace model, and you may use available export or reset troubleshooting tools where provided.

7. Intellectual Property

All rights, title, and interest in and to the Software, including all associated intellectual property rights, are owned by Spanna and its licensors. These Terms do not grant you any rights to use our trademarks, logos, or brand features.

8. Subscriptions & Payments

  • Current Pro access is invite-only and is billed through our payment provider (Paddle).
  • For the current invite-only stage, publicly advertised pricing is annual unless we state otherwise during checkout.
  • You may cancel your subscription at any time; access continues until the end of the billing period.
  • Refunds are handled manually and on a case-by-case basis unless a different policy is stated at purchase time or required by law.
  • Before public self-serve launch, pricing and packaging may change. For active paid subscriptions, price changes will be communicated before renewal.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SPANNA OR ITS OFFICERS, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE ARISING FROM YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Spanna and its affiliates from any claims, losses, or damages (including legal fees) arising from your use of the Software or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Software at any time, with or without cause, and with or without notice. Upon termination, your right to use the Software ceases immediately. Sections 6, 7, 9, 10, 11, and 13 survive termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Sweden.
